Wholesale Terms & Conditions

Wholesale pricing, bulk quotations, and dealer-tier benefits are exclusively available to registered businesses, proprietorships, or partnerships engaged in the sale, installation, or maintenance of electronic security systems. The Firm reserves the sole right to verify, approve, or reject any wholesale registration application without obligation to provide a reason for such decision.

All wholesale prices are subject to change without prior notice, reflecting real-time OEM distributor costs and foreign exchange fluctuations.

• Tier Pricing: Dealer discount tiers are determined by historical monthly purchase volume and are reviewed on a quarterly basis.
• Validity of Quotations: All formal price quotations issued by the Firm are valid for a period of 48 (forty-eight) hours from the time of issue, unless otherwise explicitly stated in writing.
• GST: All prices communicated are exclusive of applicable Goods and Services Tax. GST shall be levied at the prevailing statutory rate and shall be the sole responsibility of the purchasing dealer.

The Firm shall endeavor to maintain adequate stock of all listed SKUs. However, stock availability is subject to OEM supply chains and cannot be guaranteed. The dealer acknowledges that certain high-demand SKUs may require a lead time of up to 7 (seven) business days for procurement from the principal distributor.

• MOQ: No formal Minimum Order Quantity (MOQ) is mandated for standard retail SKUs. However, bulk discount pricing shall only be activated for orders meeting the specified volume threshold communicated at the time of dealer registration.

All wholesale transactions are, by default, conducted on a cash-and-carry or advance-payment basis.

• Credit Facility: A credit facility, if extended to a dealer, is a discretionary privilege and not a contractual right. The Firm reserves the right to revoke credit at any time without prior notice.
• Accepted Modes of Payment: NEFT/RTGS, UPI (PhonePe / Google Pay), and Account Payee Cheques payable to "JM24 Enterprises". Cash transactions are subject to applicable TCS provisions under the Income Tax Act.
• Overdue Accounts: Invoices outstanding beyond the agreed credit period shall accrue a late payment charge of 2% per month on the outstanding principal amount.

The Firm facilitates warranty claims directly with the respective OEM on behalf of registered dealers. Physical damage, seal tampering, or missing serial numbers will void any warranty or return eligibility absolutely.

• Dead-on-Arrival (DOA): DOA claims must be reported within 48 hours of receipt of goods. Claims reported after this period will be treated as standard warranty claims subject to OEM policies.
• No-Return Policy: Goods that have been installed, configured, or otherwise used are not eligible for return under any circumstances.

Dealer-tier pricing communicated by the Firm is strictly confidential. Dealers expressly agree not to disclose, publish, or otherwise communicate wholesale prices to end consumers, competing businesses, or third parties. Violation of this clause may result in immediate termination of the dealer relationship and forfeiture of any pending credits or benefits.

These Wholesale Terms shall be governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in Rewari, Haryana. The parties agree to first attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings.
